MY BANK SOFTWARE LICENCE
TERMS OF USE

These clauses (hereinafter called the "Clauses") regulate the terms and conditions for the acquisition and subsequent downloading of the "My Bank" Software (hereinafter called the "Software") by the user (hereinafter called the "User") on his mobile device (hereinafter called the "Device") through the grant of a Software Licence (hereinafter called the "Terms") to the User by Deutsche Bank S.A. Española (hereinafter called "DB"), Paseo de la Castellana 18, 28046 Madrid, registered with the Companies Registry in Madrid, volume 28100, book 0, folio 1, section 8, sheet M506294, entry 2, with tax identification number (CIF) A08000614.

These Clauses are solely intended to regulate the service relating to the acquisition and downloading of the Software. Consequently, the services to which the User may have access through the installation of such Software shall be governed solely by the terms agreed upon between the parties in the existing contracts and/or agreements and, more specifically, the Online Banking services shall be governed by the provisions set out in the agreement entered into by the User and DB and any other terms and conditions applicable thereto.

1.- Access to the service.

The Software enables access to and use of the Mobile Banking services from certain mobile devices equipped with the Android or IOS operating system, subject to these Terms and, in the case of the Online Banking services, to the terms and conditions set out in the Deutsche Bank Online Service contract entered into between the User and DB (hereinafter called the "Services").

Access to and subsequent use of the Services by means of the Software is conditional (i) upon the Services being operational, (ii) in the case of Online Banking transactions, upon prior and proper identification of the User in accordance with the provisions of the Online Banking Services contract, and (iii) upon the feature selected by the User being operational when accessed from the Device.

In order to access the Services, the Software must be downloaded and installed on the User's Device. Once downloading is complete, the User must execute the Software and access the Services homepage. 

The Software will provide access to the following features:

(a) Online Banking transactions. The User must first register for Online Services in order to gain access to such services via the Software. Not all Online Banking Services and features are available when accessing from a Device. The options available through this method will be those shown upon access and will be accessible via a navigation menu. These options may be amended or extended at any time. DB shall require prior identification of the User through the use of appropriate log-in details. These log-in details will be those currently used by the User to log in to the DB website (Online Banking). The User will be able to conduct online banking transactions using such access data, provided that they have not been disabled or locked. 

(b) Branch locator. This option allows the User to search for DB branch offices and cash machines by entering the relevant search criteria.

(c) Upon completing a transfer order the User may generate an automatic email to notify the beneficiary of the transaction using the option "Notify the beneficiary". The User is expressly informed that this functionality will only execute the email application installed on the User's device and generate a draft message in the body of the email. The User may subsequently amend this message to modify the content that they wish to send to the beneficiary. Accordingly, Deutsche Bank, Sociedad Anónima Española does not in any way guarantee or vouch for the authenticity of the information provided through this functionality. Deutsche Bank, Sociedad Anónima Española cannot be held liable for the execution of the functionality on the User's device or the email application - should more than one email application be installed on the device - on which the functionality is executed.

The User must log off the Services once he has completed the transactions or actions that he intended to carry out or view by using the options provided for that purpose.

If applicable, the transactions completed by the User will generate the relevant fee applicable to the Services, regardless of the method of access used to execute such transaction (Device, access to the DB website or telephone channel).

2.- Software Licence.

DB hereby grants a Software Licence to the User on a personal, limited, non-transferable, non-exclusive, worldwide and free basis, although DB reserves the right to apply a fee in the future in return for access to and use of the Software, or any other type of restriction on the Licence so granted, which will be notified in advance to the User.

This is notwithstanding that any access, navigation or calls made by the User will be charged by the relevant IT and communications service providers in accordance with the agreements existing between the User and such service providers. 

The Software licensed hereunder may be downloaded by the User from the store of the company manufacturing the operating system or distributing the applications. The downloading and subsequent use of the Software necessarily implies acceptance of these Terms by the User and the use and reproduction of the Software for the sole purposes of access to and use of the Services from the mobile device by the User in his capacity as final recipient of the Services.

This Software Licence shall not in any way entitle the User to assign the Licence to third parties and therefore shall not confer any right upon the User to sell, sub-license, rent, lease, assign or transfer the Licence to third parties in any manner and for any reason whatsoever.

DB reserves the right to amend, alter, improve or delete all or part of any component or feature of the Software at any time and without notice.

DB further reserves the right to suspend access to the services or to any feature of the Software at any time and without notice.

3.- Intellectual and industrial property.

All the information, data, structure and components that make up the Software are subject to the Spanish legislation relating to intellectual and industrial property and may not be copied, distributed, disclosed, processed or disseminated in any form or fashion by the User.

This Licence does not provide the User with any right to the Software, except for the right to use it in accordance with the limitations set out in these Terms. In this regard, DB may exercise any legal action that it may deem appropriate in the event of an infringement of its intellectual and industrial property rights concerning the Software licensed hereunder or the contents, logos, images and other components made available by the Software.

The User may not use the Software to develop another piece of software or any other technology whose main function is identical to that of the Software, including, but not limited to, the use of the Software in any development procedure or test aimed at developing similar software or technology or at determining whether such software or technology operates in a similar manner to the Software, except where the User is duly authorised to do so.

The User may not use the Software in any manner other than that contemplated by these Terms. This restriction includes, without limitation, the marketing of the Software or the tampering, altering or modification of all or part of the Software.

4.- Warranty and liability.

The Services are subject to the legislation currently in force in Spain, and therefore DB shall not be held liable in the event that Users acting under a different jurisdiction are required to comply with other conditions or requirements, and more generally with different regulations.

DB expressly states and the User acknowledges that the Software is provided "as is" and that DB does not provide any technical assistance or warranty whatsoever for the Software.

In the event that the Software contains any error or defect, DB undertakes to make its best efforts to remedy such error or defect. In any event, this Licence does not grant any warranty on the licensed Software.

DB shall not be liable to the User should it become unable to perform its obligations under these Terms due to a force majeure event or unforeseeable circumstances. Furthermore, DB shall not be held liable:

(a) for any direct or indirect damage that may arise from the use of the Software, nor shall it be responsible for the loss of data or information in relation to the use thereof;

(b) for any loss or damage arising out of or in connection with improper use of the Software or in the IT systems of the User due to a virus or hacking attack, or for any breakdown or disruption and/or failure in telecommunications or otherwise;

(c) for any damage that the Software may cause to the Device owing to its compatibility or technical requirements;

(d) for the accuracy and currency of any third-party information that may be contained in accessing the Services and the consequences of its use by the User.

The User shall be liable for any damage that the Software may cause to the Device and shall be fully responsible for obtaining appropriate devices for the downloading and use of the Software.

The User shall be responsible for ensuring that the Software selected is suitable for achieving the specific results expected by the Client.

The User shall be solely responsible for using the Software and accessing the Services from a Device in a secure and responsible manner. The User must comply with and, where applicable, implement such security and protection measures as may be appropriate to avoid the loss of confidentiality of the data supplied, obtained or generated during the process of accessing and using the Services, and more particularly, by way of non-exhaustive example, to maintain the confidentiality of the log-in details and other identification data that may be used by third parties to usurp the identity of the User and conduct transactions on his behalf in a fraudulent manner, and, generally speaking, to prevent access by third parties to information generated as a result of access or attempted access to the Service or access by third parties to his Device, to the software installed on his Device or to the information saved on it.

The User shall ensure the proper functioning of the Software by observing the instructions and technical specifications provided for its installation, maintenance and execution or the technical specifications, requirements or features of its Device or any other software that may be installed on it. The User shall also take into account the compatibility of the Software with any other piece of software that may already be installed on his Device.

Moreover, the User shall take such precautions and protective measures as may be necessary to prevent the transmission or propagation of viruses and other forms of malware from his Device. The User shall ensure that his mobile device remains adequately protected with the highest possible level of security. If the User's device is affected by any virus or malware, the User shall take all necessary steps to detect and delete such malware as quickly as possible, so as to prevent it from spreading to DB's systems. The User shall be liable for any damage that may be caused by banking transactions conducted by unauthorised third parties as a result of a failure to perform his obligations under these Terms.

The User shall be responsible for taking out the communication services needed to access the Services from his Device and shall pay for any consumption costs arising from the use of such services.

The User undertakes to keep the Software up-to-date in accordance with the latest update available in the store, which will provide all the features available in My Bank.

5.- Performance of these Terms of Use.

These Terms shall be binding from the time the User proceeds to download and use the Software, which shall necessarily entail and imply tacit acceptance of such Terms by the User. In the event of disagreeing with these Terms, the User shall immediately proceed to uninstall the Software.

6. Geolocation devices.

In the event that this feature is available on the User's device via GPS, and provided that this feature is activated, the Software will provide a list of the branch offices/cash machines nearest to the position of the Device, along with details of the address and route to get to each branch office or cash machine.

DB assumes that the User has accepted without reservation the terms and restrictions of use specified by the provider of the geolocation services for access to and use of such feature, without this implying that DB shall supply or be responsible for the supply of all or part of such service.

In the event that the User does not wish to maintain the geolocation service activated, he shall take such actions as may be specified by the provider of such service for its interruption or termination.

7.- Personal Data Protection (LOPD).

DB maintains an ongoing commitment to ensuring the security and protection of the personal data of its users and customers.

Any data provided by the User in the forms available with the Software shall be processed with the utmost confidentiality, and in collecting such data, the User shall be informed of the use and purposes for which DB will use such information.

In any event, the User may contact our Customer Service department at the following e-mail address: atención.clientes@db.com, to exercise his rights to access, amend, delete or oppose the use of his personal data in accordance with current data protection legislation.

8.-Termination

The User may terminate the Terms at any time by proceeding to uninstall the Software from his Device.

DB reserves the right to withdraw or disable the Software licensed hereunder at any time to prevent access to the Services where there is just cause.

In the event that DB becomes aware of any improper use of the Licence by one or more Users, incorrect functioning of the Software or, more generally and by way of non-exhaustive example, any type of threat which it deems may have an impact on the correct functioning of the Service or DB's Systems, DB may block access from Devices to the Services without notice, without prejudice to its right to take such legal action as may be deemed necessary to mitigate the consequences of the breach and/or threat and, where appropriate, to bring a claim against the User for breach of this Licence and for any ensuing damages, all in accordance with applicable legislation.

In any event, the cancellation or termination of the Online Banking Services contract between DB and the User shall implicitly and necessarily lead to the inability to have access to Online Banking transactions by means of the Device.

9.- Notices.

Any notice, request or communication that the User wishes to notify to DB must be sent to the following address: db-online@db.com

These Terms may be amended and/or updated from time to time, and therefore you should regularly check the latest version to verify the changes made to the Terms and, should you disagree with them, proceed to uninstall the Software.

10.- Applicable law

These Clauses shall be governed and interpreted in accordance with the laws of Spain and subject to the jurisdiction of the courts of Madrid.
